PPT LAB TERMS OF SERVICE
THE FOLLOWING DESCRIBES THE TERMS ON WHICH PPT LAB OFFERS YOU ACCESS TO OUR SERVICES.
Welcome to the User Agreement (the "Agreement" or "User Agreement") for PPT Lab (the "Site"). If you do not agree to be bound by the terms and conditions of this Agreement, do not use or access our services. We may amend this Agreement at any time by posting the amended terms on the Site. Unless otherwise noted, all amended terms become effective immediate to posting on the Site. This Agreement is effective on August 1st, 2012 for all users.
1.0 Fees and Services.
PPT Lab is a subscription service, meaning active members ("Subscribers") will be billed a set fee on a recurring basis. The billing period will be defined during or before the checkout process. The billing start date will be the day the the Subscriber joins the Site.
PPT Lab is a crowdsourced presentation design service. In this context, "crowdsourced" refers to the nature of how presentation projects are created and prioritized. All presentation projects will be submitted by Subscribers. Subscribers can then vote for submitted presentation projects that they are most interested in. The priority of presentation project development is then determined by the number of votes each project receives. In other words, the project with the most number of votes will be created first. This ensures that we develop those presentations the community of Subscribers is most interested in. The Site will create 50+ slides each month. This means, in rare cases dependent on the Subscriber's start date, it may not reach the 50 slide threshold during the Subscriber's first billing period month.
The Site is a presentation design service, meaning we are focused on designing the presentation. The Site is not responsible for content development. Content development includes, but is not limited to, conducting market research, performing data analysis, providing opinions or interpretations on various topics. The Subscriber who submitted the presentation project (the "Submitter") is responsible for providing enough content for a presentation to be created. In submitting the project, the Submitter can include attachments and links to external resources. During the presentation creation process, the Site may engage in further communication with the Submitter to obtain more information or clarification related to the project.
2.0 Restricted Activities.
Your Information and your activities on the Site shall not: (a) be false, inaccurate or misleading; (b) be fraudulent or involve the sale of counterfeit or stolen items; (c) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, antidiscrimination or false advertising); (e) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) be obscene or contain child pornography or, if otherwise adult in nature or harmful to minors, shall be posted only in the Mature Audiences section and shall be distributed only to people legally permitted to receive such content; (g) contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and (i) attach or link directly or indirectly to or include descriptions of content that: (aa) are prohibited under this Agreement; or (bb) you do not have a right to link to or include. Furthermore, you may not attach or link to any content on the Site (or consummate any transaction that was initiated using our service) that could cause us to violate any applicable law, statute, ordinance or regulation, or that violates our current Prohibited, Questionable and Infringing content. Furthermore, you may not sell any documents obtained through the Site.
Without limiting other remedies, we may limit your activity, immediately remove your purchases or item listings, warn our community of your actions, issue a warning, temporarily suspend, indefinitely suspend or terminate your membership, and refuse to provide our services to you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause financial loss or legal liability for you, our users, or us.
4.0 No Warranty.
WE, OUR SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS PROVIDE OUR WEB SITE AND SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. WE, OUR SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.
You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
6.0 No Agency
You and PPT Lab are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
7.0 Payment and Refunds
We utilize PayPal as our payment processor. Charges will appear on your credit card or bank statement as PAYPAL*LEARNPPT. To cancel your subscription, you can do so through PayPal. Once you cancel, your membership will automatically be terminated at the end of your billing period. For billing inquiries, please contact us at email@example.com.
